Tempixl LLC ("Tempixl," "we," "us," or "our") is a Florida limited liability company providing website design, development, hosting, maintenance, and digital infrastructure services to small businesses. These Terms of Service ("Terms") govern your access to and use of our services, website, and any related products or digital resources.
Tempixl offers the following services under monthly subscription plans:
The specific services included in your engagement are determined by the plan you select at signup. Tempixl reserves the right to modify, update, or discontinue any feature of a plan with reasonable advance notice.
All services require payment as follows:
Late Payment Fees: Any outstanding balance not received within 7 calendar days of the due date will be subject to a late fee of 1.5% per month (18% per annum) on the unpaid balance. If payment remains outstanding after 30 days, Tempixl reserves the right to suspend all services until the account is brought current. Accounts outstanding beyond 60 days may be referred to collections, and the Client agrees to reimburse Tempixl for any reasonable attorney or collection agency fees incurred in recovering the outstanding balance.
All payments are processed securely through Stripe. Tempixl does not store your payment card information directly. Invoices are issued via email upon each billing cycle.
Setup fees are non-refundable once work has begun. If a client cancels before any design or development work has started, a full refund of the setup fee may be issued at Tempixl's discretion.
Monthly subscription fees are non-refundable for the current billing period. If you cancel your subscription, your service will remain active until the end of the paid period, after which it will not renew.
Tempixl does not offer prorated refunds for partial months of service.
Either party may cancel the service arrangement with written notice. To cancel your subscription, you must notify Tempixl via email at contact@tempixl.com at least 7 days before your next billing date. Cancellations received after this window will take effect at the following billing cycle.
Upon cancellation, all outstanding balances become immediately due and payable. Tempixl will provide you with access to your website files and any content we have created on your behalf within 14 business days of the cancellation date, provided no outstanding balances remain. After the cancellation date, Tempixl is not responsible for maintaining or hosting your website.
Tempixl will perform services as defined in the selected plan. Any requests beyond the defined scope — including additional pages, new features, custom integrations, or redesigns — will be treated as a separate project and quoted accordingly.
Approval Deemed Clause: Upon delivery of any design, page, or revision for Client review, the Client has 7 business days to provide written feedback or approval. If Tempixl does not receive feedback within this window, the deliverable shall be deemed approved by the Client and Tempixl may proceed to the next phase. This prevents project delays caused by non-responsive clients.
Delay Policy: If the Client fails to provide required materials (logos, photos, content, credentials) within 14 business days of request, Tempixl reserves the right to pause the project and re-queue it based on current availability. Timeline estimates reset upon receipt of all required materials.

Delays caused by a client's failure to provide materials or timely feedback may result in project timeline extensions, for which Tempixl bears no responsibility.
All documents, templates, and resources sold through Tempixl's Digital Store ("Digital Products") are provided as customizable template documents only and are sold in an unfinished state requiring completion and customization before use.
By purchasing any Digital Product, you acknowledge and agree that:
Upon receipt of full payment for setup fees and any outstanding balances, ownership of the website design and custom content created specifically for your project transfers to you, the client.
Tempixl retains the right to display completed work in its portfolio and marketing materials unless you request otherwise in writing prior to project completion. Third-party assets (stock photos, fonts, plugins, or licensed software) remain subject to their respective license agreements and are not transferred as part of this arrangement.
All digital resources, templates, and documents sold through Tempixl's digital store are licensed for personal or single-business use only. Redistribution, resale, or sharing of purchased documents is strictly prohibited.
You agree to defend, indemnify, and hold harmless Tempixl LLC and its members, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
This indemnification obligation survives the termination of this Agreement and your use of Tempixl's services.
Tempixl LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of revenue, loss of data, or business interruption.
Our total liability for any claim arising from our services shall not exceed the total amount paid by you to Tempixl in the three months preceding the claim.
We do not guarantee specific results from SEO, analytics, or website performance improvements. Digital marketing outcomes depend on many factors outside our control.

Tempixl provides services on an "as is" and "as available" basis. We make reasonable efforts to ensure uptime, security, and performance, but we do not warrant that our services will be uninterrupted, error-free, or free from security vulnerabilities. We are not responsible for downtime caused by third-party hosting providers, domain registrars, or circumstances beyond our reasonable control.
Tempixl shall not be held liable or in breach of this Agreement for any delay or failure to perform resulting from causes beyond our reasonable control. This includes but is not limited to acts of God, natural disasters, pandemic, war, terrorism, government orders, power outages, internet service provider failures, third-party platform outages (including but not limited to Webflow, Netlify, Stripe, or domain registrars), or any other event outside of Tempixl's reasonable control ("Force Majeure Event").
In the event of a Force Majeure Event, Tempixl will notify the Client as soon as reasonably practicable and will resume performance as soon as the Force Majeure Event has ceased. No refunds or credits will be issued for service interruptions caused by Force Majeure Events.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be submitted to mediation in the State of Florida before any legal proceedings are initiated. Any legal proceedings shall take place in the courts of the State of Florida.
These Terms of Service, together with Tempixl's Privacy Policy and Client Service Agreement, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior discussions, representations, warranties, and understandings — whether written or oral — between the parties.
No modification of these Terms shall be valid unless made in writing and acknowledged by Tempixl in writing. No failure by Tempixl to enforce any provision of these Terms shall constitute a waiver of Tempixl's right to enforce such provision in the future.
Tempixl reserves the right to update these Terms of Service at any time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will provide at least 14 days' notice via email to active clients. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.
